These Terms of Sale (“Terms”) govern all purchases, reservation deposits, and orders placed with Frederick Recovery LLC (“Frederick Recovery,” “we,” “us,” or “our”). By placing a reservation deposit or order, you (“Clinic,” “Customer,” or “you”) agree to these Terms.
These Terms apply only to business-to-business transactions. Frederick Recovery does not sell directly to consumers.
1. Scope of Products
Frederick Recovery assembles and sells standardized post-procedure aftercare kits (“Recovery Kits”) for use by licensed clinics and medical practices. Kits contain clinic-approved, commercially available medical and comfort supplies packaged together in a premium box.
Frederick Recovery is not a medical provider, does not manufacture medical devices, and does not provide medical advice.
2. Orders & Reservation Deposits
A $50 reservation deposit is required to reserve Recovery Kits and confirm intent to order. Reservation deposits are refundable only as expressly set forth in Section 9.
The reservation deposit:
Reserves inventory and production capacity
Counts toward any applicable production allocation (including the Founders Program)
Does not constitute final payment for the order
Remaining balances are invoiced separately and charged only after branding proofs and order details are approved by the Clinic, as described in Section 3 below.
3. Billing, Invoicing, and Payment Authorization
By submitting a reservation deposit, the Clinic authorizes Frederick Recovery to securely store payment credentials through its third-party payment processor (such as Stripe) for future billing purposes. Frederick Recovery does not store or have direct access to full payment card details.
Once production requirements are met, Frederick Recovery will issue a final invoice and provide the Clinic with at least seven (7) days’ advance notice prior to charging the remaining balance.
If the invoice is not paid manually within the stated invoice period, the Clinic authorizes Frederick Recovery to automatically charge the stored payment method for the approved invoice amount.
No additional charges will be processed without prior invoice notification.
4. Production Timing
Production schedules may depend on aggregate order volume, operational capacity, and supply availability.
Frederick Recovery does not guarantee specific production or delivery dates unless confirmed in writing. Estimated timelines are provided for planning purposes only.
5. Founders Program (Automatic Allocation)
Founders status is granted automatically to the first clinics whose combined confirmed orders total 300 Recovery Kits.
No application or approval process is required
Each reserved box counts toward the allocation
Once 300 boxes are allocated, Founders access closes
Founders status may include priority placement in the initial production run. Founders status does not guarantee pricing beyond published tiers unless otherwise stated in writing.
6. Custom Branding & Proof Approval
Recovery Kits may include clinic branding elements such as:
Exterior logo printing
Internal clinic thank-you card
All branding proofs must be reviewed and approved by the Clinic before production.
Once branding proofs are approved:
Custom-branded items are non-refundable
Changes may result in additional costs or delays
7. Pricing
Pricing is provided on a tiered, per-box basis and is subject to change for future production runs. Published pricing applies only to confirmed order quantities.
Custom quantities or multi-location orders may require a separate written quote.
8. Shipping & Delivery
Recovery Kits are shipped to clinics only.
Clinics are responsible for providing accurate shipping addresses
Frederick Recovery is not responsible for delays caused by carriers, weather, or events beyond our control
Risk of loss transfers to the Clinic upon carrier pickup
9. Refunds & Cancellations
Reservation deposits are refundable until:
Branding proofs are approved, or
Production begins for the Clinic’s specific order
Custom-branded items are not refundable once approved.
Refund requests must be submitted in writing.
10. Medical & Product Disclaimer
Frederick Recovery LLC does not provide medical advice, diagnosis, or treatment.
Recovery Kits are intended as supplemental aftercare supplies only. All medical decisions, patient instructions, treatment protocols, and clinical judgments are the sole responsibility of the purchasing Clinic.
Patients may experience sensitivities, allergies, or reactions to materials included in the Recovery Kits. Clinics are responsible for evaluating patient suitability, screening for sensitivities, and providing appropriate patient guidance regarding product use.
Nothing in these Terms or the provision of Recovery Kits creates a doctor–patient or provider–patient relationship between Frederick Recovery and any individual.
11. No Warranties
Recovery Kits are provided “as is” and “as available.”
Frederick Recovery makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
No representation or statement made by Frederick Recovery shall be construed as medical guidance or a guarantee of patient outcomes.
12. Limitation of Liability
To the maximum extent permitted by law:
Frederick Recovery’s total liability for any claim arising out of or related to an order shall not exceed the total amount paid by the Clinic for the affected order
Frederick Recovery shall not be liable for indirect, incidental, consequential, or special damages
13. Indemnification
The Clinic agrees to indemnify and hold harmless Frederick Recovery from any claims arising from:
Improper use of the Recovery Kits
Patient instructions provided by the Clinic
Medical decisions made by the Clinic
14. Dispute Resolution (Mandatory Arbitration)
Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration, not in court.
Arbitration shall take place in Florida
Class actions are prohibited
Jury trials are waived
15. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
